1. Acceptance of Terms

By accessing or using the BillAye mobile application and website (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of the Terms, you may not access the Service.

2. Eligibility

You must be at least 18 years of age to use our Service. By using our Service, you represent and warrant that you are at least 18 years of age and that you have the right, authority, and capacity to agree to and abide by these Terms.

3. Account Registration

When you register for an account, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

4. Recharge and Payment Services

BillAye provides mobile recharge and bill payment services through our platform. By using these services, you agree to:

• Provide accurate and complete information for all transactions
• Authorize us to charge your preferred payment method for the transactions you initiate
• Be solely responsible for verifying the details of each transaction before confirming
• Acknowledge that once a transaction is processed, it cannot be canceled or reversed unless permitted by the relevant service provider's policy

5. Wallet Services

The BillAye Wallet allows you to store funds for future transactions within our Service. By using our Wallet services, you agree to:

• Add funds only through approved payment methods
• Use the Wallet funds only for transactions within our Service
• Accept that Wallet funds cannot be transferred to other users
• Request withdrawals to your bank account by contacting our support team
• Acknowledge that manual withdrawals may take up to 3 business days to process, KYC verification required

We reserve the right to suspend or terminate Wallet services if we detect any suspicious or fraudulent activity.

6. Commission Structure

BillAye provides commission-based incentives for certain transactions. Commission rates may vary based on the service provider, transaction type, and transaction amount. We reserve the right to modify commission rates at any time without prior notice.

Commissions earned will be credited to your BillAye Wallet and can be used for future transactions or withdrawn according to our withdrawal procedures.

7. Referral Program

The BillAye Referral Program allows you to earn rewards by referring new users to our Service. By participating in the Referral Program, you agree to:

• Share your referral code only through legitimate channels
• Not engage in spamming or unsolicited marketing
• Accept that rewards will only be credited when the referred user meets the program's eligibility criteria
• Acknowledge that we may modify or terminate the Referral Program at any time

8. Prohibited Activities

You agree not to use our Service for any illegal or unauthorized purpose. Prohibited activities include, but are not limited to:

• Creating multiple accounts to abuse promotions or referral programs
• Attempting to manipulate or bypass any security features
• Using automated systems or bots to access or use the Service
• Conducting transactions for illegal purposes
• Attempting to reverse-engineer any part of our Service
• Impersonating another person or entity
• Harassing, threatening, or intimidating other users

We reserve the right to terminate your access to the Service immediately, without prior notice, if we suspect you are engaged in prohibited activities.

9. Intellectual Property

All content, features, and functionality of our Service, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of BillAye or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without our prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, BillAye, its affiliates, and their respective officers, directors, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Technical failures or interruptions in the Service
• Errors, inaccuracies, or omissions in the Service or any content provided through the Service

11. Indemnification

You agree to defend, indemnify, and hold harmless BillAye, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the courts of India.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
